2.1 Age Requirement

4.1 Content Ownership

You retain ownership of any User Content you post. However, by posting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content in connection with the Service.

4.2 Content Responsibilities

You represent and warrant that:

• You own or have the necessary rights to post User Content
• Your User Content does not violate these Terms or applicable law
• Your User Content does not infringe on any third-party rights
• Your User Content is accurate and not misleading
• You have obtained all necessary permissions, releases, and consents

4.3 Prohibited Content

User Content must not contain or promote:

• Illegal activities or content
• Hate speech, discrimination, or harassment
• Violence, threats, or harmful content
• Sexually explicit or inappropriate content
• Personal information of others without consent
• Spam, advertising, or commercial solicitations (unless authorized)
• Misleading or fraudulent information
• Malware, viruses, or harmful code

4.4 Review Guidelines

When posting reviews, you must:

• Base reviews on your actual personal experience
• Provide honest, fair, and accurate feedback
• Not accept compensation for reviews without disclosure
• Not post reviews for businesses you own or work for
• Not post reviews to harm competitors
• Avoid conflicts of interest

4.5 Content Moderation

We reserve the right, but have no obligation, to monitor, review, edit, or remove any User Content at our sole discretion. We may remove Content that violates these Terms, is offensive, or for any other reason without prior notice.

5. Business Listings

5.1 Creating Listings

If you create a Business Listing, you represent and warrant that:

• You are authorized to represent the business
• All information provided is accurate and complete
• You will keep the information up-to-date
• You have the right to use any images, logos, or materials posted

5.2 Verification

We may verify Business Listings through documentation, phone verification, or other means. Verified listings may receive a verification badge. Verification does not constitute endorsement.

5.3 Listing Management

We reserve the right to edit, relocate, or remove any Business Listing that violates these Terms, contains inaccurate information, or for quality control purposes.

6. Intellectual Property Rights

6.1 Our Property

The Service and its original content (excluding User Content), features, and functionality are owned by ListingPro and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Trademarks

"ListingPro" and our logos, service marks, and trade names are trademarks of ListingPro. You may not use these marks without our prior written permission.

6.3 Copyright Infringement

We respect intellectual property rights. If you believe your work has been copied in a way that constitutes copyright infringement, please contact us at copyright@listingpro.com with:

• Identification of the copyrighted work
• Identification of the infringing material and its location
• Your contact information
• A statement of good faith belief that use is not authorized
• A statement of accuracy and authority to act
• Your physical or electronic signature

7. Payments, Fees, and Subscriptions

7.1 Free and Paid Services

We offer both free and paid services. Fees for paid services will be disclosed before purchase. All fees are non-refundable unless otherwise stated or required by law.

7.2 Payment Processing

Payments are processed through third-party payment processors. You agree to provide accurate payment information and authorize us to charge your payment method.

7.3 Subscription Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You will be charged the then-current rate. You may cancel at any time through your Account settings.

7.4 Price Changes

We reserve the right to change fees at any time. We will provide at least 30 days' notice for subscription price changes.

7.5 Taxes

You are responsible for all applicable taxes. If we are required to collect or pay taxes, they will be charged in addition to the fees.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

9. Third-Party Links and Services

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by ListingPro. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that ListingPro shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

10. Disclaimers and Warranties

10.2 No Warranty

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• User Content is accurate, reliable, or suitable for any purpose

10.3 User Responsibility

You are solely responsible for evaluating the accuracy, completeness, and usefulness of any information, opinions, advice, or other content available through the Service. You should verify information independently before relying on it.

10.4 No Business Endorsement

We do not endorse, guarantee, or assume responsibility for any businesses listed on the Service. Reviews and ratings are opinions of individual users and do not reflect our views.

11. Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless ListingPro and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of or inability to use the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable law or regulation
• Any claim that your User Content caused damage to a third party

13. Termination and Suspension

13.1 Your Right to Terminate

You may terminate your Account at any time by contacting us or using the Account deletion feature. Upon termination, your right to use the Service will cease immediately.

13.2 Our Right to Terminate

We may terminate or suspend your Account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• At our discretion for any or no reason

13.3 Effect of Termination

Upon termination, all provisions that by their nature should survive shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Dispute Resolution

14.1 Informal Resolution

If you have a dispute with us, please contact us at legal@listingpro.com to attempt to resolve the issue informally. We will try to resolve the dispute in good faith.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

14.3 Jurisdiction

For EU residents: You may bring claims in your country of residence. For all others: Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in the Netherlands, and you consent to personal jurisdiction therein.

14.4 EU Dispute Resolution

If you are an EU consumer, you may access the European Commission's Online Dispute Resolution platform at: https://ec.europa.eu/consumers/odr/

15. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice before the new terms take effect.

By continuing to use the Service after changes become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

16. General Provisions

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and ListingPro concerning the Service.

16.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

16.4 Assignment

You may not assign or transfer these Terms or your Account without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.6 Electronic Communications

By using the Service, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

16.7 Language

These Terms are written in English. Any translations are provided for convenience only. In the event of any conflict, the English version shall prevail.
